Terms of Use and EULA

These Terms of Use and End User License Agreement govern your access to and use of KGQuant LLC websites, software, APIs, hosted services, and add-ins, including KGQuant Simulator, the KGQuant Excel add-in, and the KGQuant Google Sheets™ add-on.

1. Acceptance

By accessing or using KGQuant, you agree to these terms and all applicable laws and regulations. If you use KGQuant on behalf of an organization, you represent that you are authorized to accept these terms for that organization.

2. Software license

Subject to these terms, KGQuant LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the KGQuant software and add-ins for your internal business or personal purposes. This license does not transfer ownership of KGQuant software, models, documentation, trademarks, or other intellectual property.

3. Accounts and access

You are responsible for maintaining the confidentiality of your account credentials, OAuth authorizations, and API keys. You must promptly revoke credentials or contact KGQuant if you believe access has been compromised.

4. Acceptable use

You may not misuse KGQuant, interfere with its operation, attempt unauthorized access, reverse engineer the hosted services or add-ins except where law expressly permits it, or use KGQuant to process unlawful, harmful, infringing, or deceptive content.

5. Customer data

You retain ownership of data that you submit to KGQuant. You grant KGQuant LLC the rights needed to host, process, transmit, analyze, and display that data solely to provide, secure, support, and improve the services. Use of personal information is described in the Privacy Policy.

6. Subscriptions and billing

Some KGQuant features may require a paid account, subscription, usage allowance, or metered billing. Unless a separate written agreement states otherwise, fees are handled by KGQuant outside Microsoft AppSource and remain subject to the pricing and billing terms presented at purchase or renewal.

7. Third-party platforms

The KGQuant Excel add-in runs inside Microsoft Excel and may rely on Microsoft Office platform capabilities. The KGQuant Google Sheets™ add-on runs inside Google Sheets™ and may rely on Google Workspace™, Google Apps Script™, and Google account capabilities. Your use of Microsoft and Google products remains subject to those platforms' own terms, policies, and account requirements.

8. Disclaimers

KGQuant is provided on an "as is" and "as available" basis. KGQuant LLC disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

9. Simulation outputs

KGQuant provides simulation, analytics, and decision-support outputs based on the data, assumptions, and model configuration supplied by users. You are responsible for reviewing outputs and deciding how to use them. KGQuant outputs are not professional, legal, financial, medical, safety, or regulatory advice.

10. Limitation of liability

To the fullest extent permitted by law, KGQuant LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or procurement of substitute services arising from your use of KGQuant.

11. Suspension and termination

KGQuant LLC may suspend or terminate access if you violate these terms, create security or operational risk, fail to pay required fees, or use the services in a way that may cause harm to KGQuant, users, or third parties.

12. Changes

KGQuant LLC may update these terms from time to time. Continued use of KGQuant after an update means you accept the revised terms.
